Terms of Service

1. Acceptance of these terms

By creating an account with Helm Technologies LLC (“Helm”) or using any of our services (the “Services”), you agree to these Terms of Service (“Terms”) and our Privacy Policy. The Services are offered to businesses, not to individuals for personal, family, or household use. You represent that you are using the Services on behalf of a business and are authorized to bind that business; “you” in these Terms means that business. If you don’t agree, don’t use the Services.

2. What Helm does

Helm is software that responds to the calls and texts your business would otherwise miss. Depending on your plan, the Services may include a Helm-provisioned phone number with conditional call forwarding from your existing line, automated SMS conversations with people who contact that number, an AI voice assistant that answers calls, voicemail and transcription, lead qualification and summaries, owner notifications, and a dashboard. Helm’s assistant identifies itself as an automated assistant in its conversations.

3. What Helm does not do

The assistant gathers information from callers and passes it to you. It is not authorized to quote prices, promise arrival times, make binding bookings, or otherwise commit your business or Helm to anything, and nothing the assistant says to a caller creates such a commitment.

AI-generated conversation can misunderstand, miss, or misstate information. You are responsible for reviewing lead details before relying on them and for every decision you make in your business. We do not promise that every call or message will be captured, answered, or transcribed accurately, or that the Services will produce any particular number of leads, jobs, or amount of revenue.

4. Your account

You’re responsible for the accuracy of information in your account, the actions taken under it, and keeping your sign-in methods secure, including the phone number and email you use to log in. Let us know promptly if you suspect unauthorized use.

5. Plans, billing, and automatic renewal

Plans are monthly subscriptions billed in advance. Your subscription renews automatically each billing period until you cancel. You authorize us, through our payment processor, to charge your payment method the subscription fee at the start of each billing period and any usage-based fees you incur.

Some plans include monthly usage allowances (for example, a number of conversations or voice minutes). Usage beyond your allowance is billed at the overage rates shown on our pricing page or disclosed to you before they apply.

If your signup includes a free trial, we’ll tell you its length before you start. Your payment method is charged automatically when the trial ends unless you cancel before then.

We may change pricing with at least 30 days’ notice by email; changes take effect at your next renewal. Fees don’t include taxes, which we’ll add where required.

6. Cancellation and the 30-day guarantee

You can cancel at any time, effective at the end of your current billing period, from your dashboard or by emailing hello@helmassist.com from your account email. There is no long-term contract and no cancellation fee.

30-day money-back guarantee.If Helm isn’t working for your business, cancel within 30 days of your first subscription charge and we’ll refund 100% of the subscription fees you’ve paid. The guarantee applies once per business, to your first subscription.

7. Customer data

“Customer Data” means the messages, call records, recordings, transcripts, phone numbers, and other content exchanged through the Services, including communications between your business and the people who contact it. You retain ownership of Customer Data. You grant Helm a limited license to host, process, and transmit Customer Data solely to operate, maintain, secure, and improve the Services and as described in our Privacy Policy. We do not use Customer Data to train general-purpose AI models.

8. Your responsibilities and acceptable use

You agree to use the Services only for lawful business purposes and to comply with the laws that apply to your communications, including the Telephone Consumer Protection Act (TCPA), state telemarketing and call-recording laws, CAN-SPAM, and CTIA messaging guidelines.

Your number. You represent that you own or control any phone number you forward to the Services and have the right to route its calls and messages through Helm.

Recording and disclosures.Calls handled by the Services may be recorded and transcribed. The Services include disclosures to callers, such as that the assistant is automated and that calls may be recorded. You agree not to circumvent or ask us to remove these disclosures, and you’re responsible for any additional notice or consent requirements that apply to your business or industry where you operate.

Your configuration.The assistant answers using information you provide, such as your trade, service area, and hours. You’re responsible for keeping it accurate.

You will not use the Services to send marketing blasts or spam, to transmit unlawful, threatening, harassing, or infringing content, or to interfere with or probe the Services. You will honor opt-out requests and help Helm honor them. We may suspend or terminate access under section 17 if we believe the Services are being misused.

9. Text messaging terms

People who call or text your Helm-connected number may receive automated text messages from Helm on your behalf. These messages are sent only in response to contact the recipient initiated, such as calling or texting your business. Message frequency varies by conversation, and message and data rates may apply. Recipients can reply STOP at any time to stop receiving messages and HELP for help. We honor opt-outs automatically, and you agree not to circumvent them. Mobile carriers are not liable for delayed or undelivered messages.

10. No emergency use

The Services do not support 911 or other emergency calls and are not a substitute for an emergency notification or dispatch system. Do not rely on the Services for any communication where a failure or delay could cause injury or property damage.

11. Third-party services

The Services depend on third parties we don’t control, including telecommunications carriers, cloud infrastructure, AI model providers, and payment processors. Carrier filtering, outages, and delivery failures at these providers can affect the Services and are outside our control. Your use of any third-party service you connect to Helm remains subject to that party’s own terms.

12. Intellectual property and feedback

Helm and its licensors retain all right, title, and interest in the Services, including software, designs, trademarks, and documentation. These Terms grant you only the limited right to use the Services as described here. If you send us feedback or suggestions, we may use them without restriction or obligation to you.

13. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, THAT AUTOMATED OR AI-GENERATED RESPONSES WILL BE ACCURATE, COMPLETE, OR APPROPRIATE IN EVERY CASE, THAT EVERY CALL OR MESSAGE WILL BE CAPTURED OR DELIVERED, OR THAT THE SERVICES WILL PRODUCE ANY PARTICULAR VOLUME OF LEADS, JOBS, OR REVENUE.

14. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, HELM AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, BUSINESS OPPORTUNITIES, OR DATA, WHETHER INCURRED DIRECTLY OR INDIRECTLY, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR (B) $100 USD. THESE LIMITS APPLY REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THESE LIMITS MAY NOT APPLY TO YOU.

15. Indemnification

You’ll defend, indemnify, and hold harmless Helm and its affiliates from any claims arising out of (a) your use of the Services, (b) your Customer Data, (c) your violation of these Terms, any law, or any third-party right, or (d) claims by people who call or text your business alleging unlawful recording, monitoring, or messaging, to the extent arising from your instructions, your configuration, or your failure to meet your obligations under section 8.

16. Dispute resolution, arbitration, and class action waiver

Talk to us first. Before filing a claim, you agree to email a written description of the dispute to hello@helmassist.com, and we agree to do the same to your account email. Both sides will try in good faith to resolve the dispute informally for 60 days before starting a formal proceeding.

Arbitration.Any dispute not resolved informally will be resolved by binding individual arbitration administered by the American Arbitration Association under its rules, rather than in court, except that either party may bring an individual claim in small-claims court or seek injunctive relief in court for infringement or misuse of intellectual property. Arbitration will take place in San Diego County, California, or remotely by video at either party’s request. The Federal Arbitration Act governs this section.

Individual basis only. DISPUTES WILL BE RESOLVED ONLY ON AN INDIVIDUAL BASIS. NEITHER PARTY MAY BRING OR PARTICIPATE IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. If 25 or more similar arbitration demands are filed by the same or coordinated counsel, the parties agree the demands will be resolved in staged batches, beginning with a bellwether set, before the remainder may proceed. If the class waiver is found unenforceable as to a particular claim, that claim (and only that claim) will proceed in court under section 19.

Opt-out. You may opt out of this arbitration agreement and class waiver by emailing us within 30 days of first accepting these Terms, stating your business name and that you opt out. The rest of these Terms will still apply.

17. Termination

You can stop using the Services at any time. We may suspend or terminate your access if you breach these Terms, don’t pay fees when due, or if we reasonably need to in order to protect the Services, our other customers, or our business. On termination, you should update the call forwarding settings on your phone line, any unpaid fees become due, and sections that by their nature should survive (customer data license during wind-down, IP, disclaimers, liability limits, indemnity, and dispute resolution) will survive.

18. Changes to the Services and these terms

Features change over time; we may add, modify, or remove parts of the Services. If we make material changes to these Terms, we’ll notify you by email or in-app at least 30 days before they take effect. If you don’t agree to a change, cancel before its effective date; continued use after that date means you accept the updated Terms. Changes to section 16 don’t apply to disputes that arose before the change.

19. Governing law

These Terms are governed by the laws of the State of California, without regard to its conflict of laws rules. For any dispute not subject to arbitration, the state and federal courts located in San Diego County, California have exclusive jurisdiction, and the parties consent to that jurisdiction.

20. Miscellaneous

These Terms and the Privacy Policy are the entire agreement between you and Helm about the Services. If any provision is found unenforceable, the rest remain in effect. A failure to enforce a provision isn’t a waiver of it. You may not assign these Terms without our consent; we may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets. Neither party is liable for delays caused by events beyond its reasonable control. We’ll send notices to your account email.
